## The role
- You draft and update fund registration statements on Forms N-1A, N-2, and S-3, and review proxy statements on Schedule 14A and Form N-14.
- You prepare and file Section 16 forms, Forms N-CSR, N-PX, and other routine SEC filings for registered funds.
- You support fund capital structure closings, advisory contract renewal materials under Section 15(c), and corporate actions for US registered funds.
- You liaise with fund and independent counsel, draft board memoranda, and coordinate with client services on sub-advised fund filings.
- You monitor regulatory changes and maintain internal databases tracking fund data and documentation across the Americas product range.
## What they are looking for
- J.D. with 2+ years of experience as a lawyer working with registered funds in financial services; law firm registered funds practice group experience is a plus.
- Solid working knowledge of U.S. open-end funds, ETFs, closed-end funds, and the Investment Company Act of 1940.
- Ability to manage multiple concurrent deadlines in a fast-paced environment while maintaining close attention to detail.
- Strong written and verbal communication skills for drafting regulatory filings, board materials, and legal memoranda.
- High proficiency in Microsoft Word and Excel; familiarity with DocuBuilder is an advantage.
